Terms of Use.

By using the API services offered by the Hail platform, you are agreeing to enter into a legally binding contract (this “Agreement”) with Hail. (“Hail”). If you are developing an API connection on the Hail Platform on behalf of another entity, that other entity will be bound by this Agreement and you represent and warrant that you have the legal authority to bind that entity.

KEY DEFINITIONS

API Documentation means the technical documentation, user guidelines, code information and other documentation maintained and updated from time to time at Hail’s Developer Website or as otherwise made available to you.

Application means any software application, website and/or product that you develop to use the Hail API.

Hail Platform refers to the Hail software used by an organisation to create content that is available to the Hail API.

Application Content means any data or information that your Application accesses or transmits via the Hail API.

Brand means trade names, trademarks, service marks, logos, domain names and any other distinctive brand features that one party makes available to the other party.

Content means any data or information made available to you through the Hail API. Content includes without limitation data generated by the users in the Hail platform and any Hail user account information (e.g., name, etc.) made available to you by Hail API.

Hail API means the application program that allows a connection to Hail to access content.

Hail User means a user of the Hail Platform.

  1. ACCESS TO THE HAIL APIs

1.1 Licenses.

(a) Hail License to You.

Subject to your compliance with this Agreement, Hail grants you a limited, non-exclusive, non-transferable, revocable license during the Term to access the Hail API and API Documentation as necessary to develop, test and support an integration of your Application with the Hail Platform. The Hail APIs are currently provided for free, but Hail reserves the right in its sole discretion to charge for the Hail APIs in the future.

1.2 Ground Rules. Your license to access the Hail API and API Documentation is limited and subject to compliance with the following requirements.
